Press release • Corporate Law & Transactions from Roman Rericha, Markus Arzt

BRANDL TALOS advised founder and CEO Erik Zobec as well as other minority management shareholders in the course of the sale of Seven Refractories GmbH's operations in Europe, India and the US to RHI Magnesita. Closing of the approx. EUR 93m transaction is subject to customary conditions precedent and expected in the second half of 2023.

Seven Refractories is an innovative supplier of special monolithic refractories with global customer relationships and offers a broad range of advanced products that are expected to become increasingly important for new low CO2-emitting manufacturing technologies among refractory customers.

With the acquisition of the European, Indian, and US-based operations of Seven Refractories, RHI Magnesita – the leading global supplier of high-grade refractory products – takes a significant step forward in non-basic refractory mixes.

Seven Refractories GmbH was advised by Schoenherr (Markus Piuk (partner) and Alfred Amann (attorney at law)), acting as lead counsel on the sell-side. RHI Magnesita was advised by CERHA HEMPEL under the lead of Albert Birkner (partner).

The BRANDL TALOS team was headed by Roman Rericha (partner) and Markus Arzt (attorney at law) and supported the founder and CEO Erik Zobec as well as other minority management shareholders of Seven Refractories in the course of the transaction and their transition into the RHI group.

» After having supported Erik Zobec and Seven Refractories over the last couple of years, we are delighted that the management team entrusted us with their representation in the course of this exciting transaction. «
