BRANDL TALOS advises on sale of ready2order to Zucchetti Group

BRANDL TALOS advised as sell-side lead counsel on the sale of ready2order GmbH, the Austrian market leader in cloud-based point-of-sale systems, to the Italian IT market leader Zucchetti.

Since 2015, ready2order has specialized in the development of modular point-of-sale and payment applications for small businesses and counts over 10,000 companies in Germany and Austria as their clients. Over the years, the Viennese fintech has already caught the attention of investors with its innovative solutions and, inter alia, secured venture capital from Speedinvest, Reimann Investors and Franz Hörhager. The company now employs almost 100 people at its headquarters in Vienna and across Europe.

With over 8,000 employees, an international sales and distribution network of more than 2,000 partners and over 700,000 customers, the Zucchetti Group is one of the most important Italian IT companies in Europe. By the 100 percent acquisition of ready2order, Zucchetti Group extends its portfolio by an innovative, cloud-based point-of-sale and payment system tailored for entrepreneurs in the SME sector.

ready2order will remain an independent company with the two co-founders, Markus Bernhart and Christopher Fuchs, continuing to lead the business and sustainably expanding the company location in Austria.

The BRANDL TALOS team, headed by Roman Rericha (partner) and Markus Arzt (attorney at law), led the transaction as lead counsel on the sell-side. Schönherr (Thomas Kulnigg, partner) and Schindler Attorneys (Florian Cvak, partner) acted as advisor to other members of the sellers’ consortium.

Zucchetti Group was advised by Fellner Wratzfeld & Partner under the lead of Paul Luiki (partner).
